Identify the state and the certificate actually requested
US corporate status documents are issued under state systems rather than one national company register. A recipient may ask for a certificate of status, existence or good standing, with the relevant terminology and contents depending on the issuing state. Establish where the entity was formed and whether an additional foreign qualification is involved. An ordinary search result may identify the business without meeting a request for a formal certificate.
Check the certificate’s scope and verification route
Delaware expressly distinguishes its online status service from an official good standing certificate, while Florida provides a specific electronic certificate ordering process. New York describes its own request requirements. Compare these procedures before paying an intermediary for a document. Keep the issue date and any validation details, and avoid treating a status certificate as evidence that the company has no debts, no disputes or sufficient funds to perform a contract.
